Transaction Advisory

As part of our transactional advisory services, we provide Clients with legal support at the transaction planning stage – we assist in selecting and establishing the appropriate structure, conduct due diligence, and help Clients eliminate potential risks related to the transaction. We participate in negotiating the transaction terms – from the term sheet, the sale/investment agreement, to the preparation of supplementary documents (e.g., corporate approvals, applications to the Office of Competition and Consumer Protection (UOKiK), and registration courts), annexes, and monitoring the fulfillment of so-called conditions precedent and subsequent. ​

We know how to guide Clients through complex transactional processes and ensure that their interests are properly secured. We also assist Clients after the transaction is concluded, during the stage of company takeover and reorganization. We work for both Polish and foreign investors. ​
